End User License Agreement

Effective Date: January 15, 2026

This End User License Agreement ("Agreement") is a legal agreement between you ("User", "you", or "your") and Abydonian ("Company", "we", "us", or "our") for the use of NexaDeck desktop software and NexaLive cloud services (collectively, the "Software").

1. License Grant

Subject to the terms of this Agreement and your valid license, we grant you a non-exclusive, non-transferable, revocable license to use the Software on the number of machines permitted by your license edition.

1.1 Perpetual Access

If your license grants perpetual access (as indicated by your entitlement policy), you may continue to use the version of the Software installed at the time your subscription ends. Access to new versions and updates is governed by your update entitlement.

1.2 Term-Limited Access

If your license is term-limited (e.g., a trial or evaluation license), your right to use the Software expires at the end of the license term. You must purchase a subscription or license to continue using the Software after the trial period.

2. Machine Activation

The Software requires activation on each machine where it is used. Each license permits a maximum number of concurrent machine activations as specified by your edition. You may deactivate machines to free activation slots.

To prevent abuse, activation attempts are rate-limited. Excessive activation and deactivation activity may result in temporary restrictions on your ability to activate new machines.

3. Online Validation

The Software periodically validates your license with our servers. If the Software cannot reach our servers, it will continue to operate in offline mode for the grace period specified by your license (typically 30 days for paid licenses). After the grace period expires, the Software will require a successful validation to continue operating.

4. Updates and New Versions

Access to software updates is governed by your update entitlement, which may depend on your subscription status, cohort, or explicit update entitlement window. We are not obligated to provide updates, but when updates are available, they are delivered through our automatic update system.

5. Cloud Services (NexaLive)

If your license includes access to NexaLive cloud services, your use of those services is subject to concurrent session limits based on your subscription tier. Session management is handled automatically; inactive sessions are reclaimed after a brief timeout.

6. Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Software
• Share, transfer, or sublicense your license key to third parties
• Use the Software on more machines than permitted by your license
• Circumvent or attempt to circumvent license validation or activation mechanisms
• Use the Software for any illegal purpose

7. Data Collection

The Software collects minimal data necessary for license validation, update delivery, and service operation. This includes machine identifiers, activation timestamps, and usage telemetry. We do not collect personal content or audio files processed by the Software.

8. Termination

We may suspend or revoke your license if you violate this Agreement. Upon termination, you must cease all use of the Software and destroy all copies. If you have perpetual access rights, termination for breach voids those rights.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Agreement Versioning

This Agreement is versioned. When we publish a new version, you will be asked to accept the updated terms before continuing to use the Software. Your continued use after accepting a new version constitutes agreement to those updated terms. Previous versions remain available for reference at their canonical URLs.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
